Registered Business Names
Comprehensive database of business names and trade names registered in Cyprus under the Business Names Law.
Understanding Business Names in Cyprus
A business name (also called a trade name or trading name) is the legal designation under which an individual or partnership conducts business operations in Cyprus. Unlike incorporated companies, business names do not create a separate legal entity. The business owner retains full personal liability for all business debts and obligations, making this structure suitable for smaller enterprises, freelancers, and sole proprietors who want to operate under a professional business identity.
When to Use a Business Name
Business names are ideal for sole traders, freelancers, consultants, and small partnerships who want to establish a professional brand identity without the complexity and cost of incorporating a company. This structure is popular among service professionals, retailers, craftspeople, and local businesses.
Advantages include simple registration process, lower setup costs, minimal compliance requirements, direct control by the owner, and straightforward tax reporting. However, the lack of limited liability means personal assets are at risk if the business incurs debts or faces legal claims.
Legal Implications
When operating under a business name, the individual or partners remain personally liable for all business obligations. This means creditors can pursue personal assets to satisfy business debts. There is no legal separation between the business and its owner(s).
Business names must comply with Cyprus Business Names Law, which requires registration with the Registrar and adherence to specific naming conventions. The name must not be misleading and cannot suggest corporate status (e.g., cannot use "Ltd" or "Limited").
Business Names vs. Companies
Business Names:
- • No limited liability protection
- • Owner personally liable for debts
- • Simple registration and maintenance
- • Lower costs and compliance burden
- • Direct pass-through taxation
Companies:
- • Separate legal entity with limited liability
- • Shareholders' liability limited to investment
- • More complex registration and compliance
- • Higher setup and maintenance costs
- • Corporate tax structure
Registration Process
The registration process involves: checking name availability, completing the registration application, providing owner identification and address details, specifying the nature of business activities, paying the registration fee, and obtaining the registration certificate.
Processing typically takes 3-5 business days. The business name must be renewed periodically and owners must notify the Registrar of any changes to ownership, address, or business activities within specified timeframes.
